1. Introduction

Welcome to Masonic Slate ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Masonic Slate platform, website, and related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy (link to your policy). If you do not agree, you may not use the Service.

2. About Masonic Slate

Masonic Slate is a software-as-a-service (SaaS) platform designed to assist Masonic organizations in managing their operational and educational processes. Our tools help lodges and governing bodies:

• Build and manage slates for degree work and leadership positions
• Communicate with members regarding local lodge events
• Track proficiencies and educational progress toward certifications such as Certified Lodge Instructor or Grand Lecturer

Masonic Slate is designed to complement, not replace, platforms like Groupable (MORI), which remain the system of record for member data.

3. Eligibility and Account Access

Access to Masonic Slate is limited to verified members of participating Masonic organizations or their authorized representatives.

By creating an account, you confirm that:

• You are at least 18 years of age (or of legal majority in your jurisdiction);
• You are a current member of a recognized Masonic organization or related body; and
• The information you provide is accurate and complete.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately if you suspect unauthorized access.

4. Acceptable Use

You agree to use the Service only for its intended purpose and in compliance with all applicable laws and regulations.

You may not:

• Use the Service for any unlawful or unauthorized purpose;
• Attempt to access data or systems you are not authorized to use;
• Reverse-engineer, decompile, or disassemble any part of the Service;
• Interfere with or disrupt the operation of the Service;
• Use the Service to transmit spam, malicious code, or objectionable content; or
• Misrepresent your identity or affiliation with any organization.

We reserve the right to suspend or terminate accounts engaged in prohibited conduct.

5. Integration with Groupable and Other Platforms

Masonic Slate integrates with Groupable (MORI) and other approved systems to synchronize member and lodge data.

We do not control those third-party systems and are not responsible for their content, accuracy, or policies.

Your use of those systems is subject to their respective terms and privacy policies.

6. Intellectual Property

All content, software, designs, features, and materials on Masonic Slate — including logos, trademarks, text, graphics, and code — are the exclusive property of Masonic Slate or its licensors and are protected by intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without prior written consent.

You may link to non-sensitive public-facing pages of our website, provided that you do not misrepresent Masonic Slate or suggest an affiliation or endorsement without permission.

7. Service Availability and Modifications

We strive to maintain continuous service but cannot guarantee uninterrupted access.

We may modify, suspend, or discontinue any part of the Service at any time without notice.

We are not liable for any loss or inconvenience caused by such changes.

8. Termination

We may suspend or terminate your access to the Service at our discretion if:

• You violate these Terms;
• You are no longer an active member of a participating Masonic body; or
• We are instructed to do so by the governing organization (e.g., a Grand Lodge).

Upon termination, your right to use the Service will cease immediately, and your data will be handled in accordance with our Privacy Policy.

9. Disclaimers

The Service is provided "as is" and "as available."

We make no warranties or representations of any kind, express or implied, including but not limited to accuracy, reliability, or fitness for a particular purpose.

While we strive to provide a secure and functional experience, we cannot guarantee that the Service will be error-free or that data will always be accurate or current.

10. Limitation of Liability

To the fullest extent permitted by law, Masonic Slate and its affiliates, officers, employees, and contractors shall not be liable for any indirect, incidental, consequential, or special damages arising out of or related to your use of the Service — even if we have been advised of the possibility of such damages.

Our total liability for any claim shall not exceed the amount you (or your organization) have paid us for access to the Service during the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Masonic Slate, its officers, employees, and affiliates from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from your use of the Service or any violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of laws principles.

Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located within the chosen jurisdiction, and you consent to their personal jurisdiction.

We may update these Terms periodically to reflect operational, legal, or regulatory changes.

When we make material updates, we will notify users by email or text and post the revised version with a new "Effective Date."

Continued use of the Service after such notice constitutes acceptance of the updated Terms.
